Virginia Legal Online is owned by Virginia Legal Online LLC, a Virginia Limited Liability Company. Virginia Legal Online LLC owns the Virginia Legal Online trade name, trademark, logo, website, and all materials used to provide our services to you, including copyrighted legal language and software document preparation applications. Hereinafter, Virginia Legal Online means Virginia Legal Online LLC.
Virginia Legal Online “material” is defined as any intellectual property, legal materials, documents, web pages, software, products, web links, email, information, or any other materials provided by or previously provided by Virginia Legal Online or the Site, including any portion thereof. Virginia Legal Online Services is defined as any Virginia Legal Online service.
Virginia Legal Online provides an online legal portal which provides an automated software solution to those individuals who choose to prepare their own legal documents.
The Site includes general information on commonly encountered legal issues. At no time do we review your answers for legal sufficiency, draw legal conclusions, provide legal advice, opinions or recommendations about your legal rights, remedies, defenses, options, selection of forms, or strategies, or apply the law to the facts of your particular situation.
VIRGINIA LEGAL ONLINE IS NOT A LAW FIRM AND DOES NOT PERFORM SERVICES PERFORMED BY AN ATTORNEY. VIRGINIA LEGAL ONLINE, ITS SERVICES, AND ITS FORMS OR TEMPLATES ARE NOT A SUBSTITUTE FOR THE ADVICE OR SERVICES OF AN ATTORNEY.
THIS SITE AND ITS APPLICATIONS ARE NOT INTENDED TO CREATE ANY ATTORNEY-CLIENT RELATIONSHIP, AND YOUR USE OF VIRGINIA LEGAL ONLINE DOES NOT AND WILL NOT CREATE AN ATTORNEY-CLIENT RELATIONSHIP BETWEEN YOU AND VIRGINIA LEGAL ONLINE. INSTEAD, YOU ARE AND WILL BE REPRESENTING YOURSELF IN ANY LEGAL MATTER YOU UNDERTAKE THROUGH THE VIRGINIA LEGAL ONLINE LEGAL DOCUMENT SERVICE AND SITE.
If you do not wish to be bound by these Terms, you are not granted authority to use or access the Site or Virginia Legal Online material.

2. Use of Virginia Legal Online Material and Virginia Legal Online Services
You agree not to use any Virginia Legal Online Material and Virginia Legal Online Services for any purpose which is against any law in your jurisdiction or for any purpose which would not give full effect to the Terms even if that purpose is otherwise allowed under the Terms.
As used herein, “Final Document” or “Final Documents” is defined as the finished document or documents provided to you through our automated software solution for your use as you see fit for your intended purpose. If you are unsure if the Final Document is sufficient for your intended use, we recommend you see an attorney. All Final Document(s) are only licensed for use in the State of Virginia.
Use of the Virginia Legal Online services to produce Final Document(s) for any other state is strictly prohibited and Virginia Legal Online does not grant a License to you in such cases.
After you have paid for access to your Final Document(s), Virginial Legal Online grants you a License to use the Final Document(s), and entitles you to:

use the Final Document(s) for your personal use, in a manner consistent with the Terms.

make necessary copies (e.g. printed or photocopied) of the Final Document(s) for your personal records and as required for the transactions for which the Final Document(s) are intended.

Reproductions or copying of the Final Document(s) for distribution or reproduction for any other purpose than your personal use is strictly prohibited.
Virginia Legal Online retains the right to cancel any sale or Site access at any time, in which case you will only be charged for the Final Document(s) you had access to prior to the cancellation of your access to the Site.
Your License is valid only for use in the State of Virginia.
To access products, you must provide credit card details to Virginia Legal Online or its payment processor as required by the Site. Virginia Legal Online will charge credit cards in accordance with displayed pricing in return for access to the Site products and services. Payments made to Virginia Legal Online are processed through Stripe.

3. Legal Advice, Information and Decision-Making Responsibility
For the purposes of these Terms, Legal Advice is defined to include the following:

any legal related communication, work or service which, under the governing law of your jurisdiction, is only allowed to be performed by or under the supervision of a properly licensed attorney;

advice on which legal document or documents you need or are best for your situation;

Virginia Legal Online is not a law firm and does not provide Legal Advice. Your use of Virginia Legal Online Material or any Virginia Legal Online Services does not create an attorney-client relationship between you and Virginia Legal Online.
You agree that all decisions you make on legal matters are your full responsibility. You further agree that any information presented on the Site is for general informational purposes only and may not address your specific legal situation or circumstance, and use of the Virginia Legal Online Material is no substitute for you to retain legal counsel licensed to practice in your jurisdiction regarding any legal issues you may have.
You agree that Virginia Legal Online does not provide Legal Advice. If you receive any communication from Virginia Legal Online, its agents, its employees or any other associated entity, which is or may be construed as Legal Advice, you agree that it is NOT a communication authorized by Virginia Legal Online and you agree to immediately delete and disregard it.
Except as expressly provided in these Terms, you agree to accept full responsibility for determining the value of and for any use you make of Virginia Legal Online Material, and for obtaining any needed assistance from a properly licensed attorney to assess the value of and appropriate uses of/for any Virginia Legal Online Material.

4. Restrictions
A PURCHASE ALLOWS ONE INDIVIDUAL TO EXERCISE THE RIGHTS GRANTED BY THESE TERMS. IF MULTIPLE INDIVIDUALS REQUIRE DOCUMENTS, THERE MUST BE A PURCHASE FOR EACH INDIVIDUAL. THE APPOINTED INDIVIDUAL MAY NOT BE CHANGED.
To the maximum extent allowable under applicable law, except as explicitly identified in these terms, you agree not to publish, re-publish, lend, license, give away, look at the software source code, modify the software source code, post to an Internet website, or use in an automated system any Virginia Legal Online Material nor will you utilize Virginia Legal Online Material in any way for the creation of an automated system or website, nor will you allow or assist a third party to do so.
You agree to only use Virginia Legal Online Material and the Site as a customer.
Licenses granted are subject to these Terms, and are non-exclusive, non-transferable, and revocable.
The rights granted under these Terms are granted to you only.
Virginia Legal Online retains the right to prohibit organizations, groups, or individuals, or yourself from using its websites or Virginia Legal Online Material or Virginia Legal Online Services at its discretion.

6. Assignment
This agreement cannot be assigned.

7. Intellectual Property
All copyright, trademarks, and other intellectual property rights (registered and unregistered) of Virginia Legal Online Material belong to Virginia Legal Online and its suppliers or affiliates. Virginia Legal Online reserves all of its rights in the Virginia Legal Online Material. Nothing in the Terms grants you a right or licence to use any intellectual property rights owned or controlled by Virginia Legal Online or any other third party except as expressly provided in these Terms.
In addition, Virginia Legal Online Material, contains information and intellectual property that is selected and organized by Virginia Legal Online and represents significant work made by Virginia Legal Online. Nothing in the Terms should be construed as granting any license or right to use any Virginia Legal Online Material or intellectual property displayed or used in any Virginia Legal Online Material except as expressly provided in the Terms.
You agree to the following:

the Virginia Legal Online Material is the property of Virginia Legal Online;

you will not use the Virginia Legal Online Material for any purpose other than is expressly permitted in these Terms;

you will not distribute in any medium any Virginia Legal Online Material without Virginia Legal Online prior written authorization or as expressly provided these Terms.

any distribution or past distribution of any Virginia Legal Online Material that violates these Terms is subject to liquidated damages in an amount equal to that which would be payable by a copyright infringer for knowingly copying a work, and based on each page of any website which uses Virginia Legal Online Material being a separate work under the Copyright Act and each access of a page of a website by a customer being a separate publication of a work.
8. LIMITED WARRANTIES
Except as expressly provided in these Terms, to the maximum extent permitted under applicable law, Virginia Legal Online Material and Virginia Legal Online Services are provided "as is" without any kind of warranty.
You accept full responsibility for determining whether Virginia Legal Online Material and Virginia Legal Online Services are suitable for any particular purpose and for protecting yourself against any possible consequential damages.
Virginia Legal Online does not authenticate users' signatures or identities. Virginia Legal Online does not track IP addresses, include digital certificates, use a certification authority nor any other third party verification.
Except as expressly provided in these Terms or where prohibited by law, we are not responsible for any loss, injury, claim, liability, damage, or consequential damage related to your use of Virginia Legal Online Material and/or Virginia Legal Online Services, or for inaccessibility of Virginia Legal Online Material and Virginia Legal Online Services whether from errors or omissions in the content of Virginia Legal Online Material and Virginia Legal Online Services or any other linked sites or for any other reason. USE OF VIRGINIA LEGAL ONLINE MATERIAL AND VIRGINIA LEGAL ONLINE SERVICES IS AT YOUR OWN RISK.

9. Maximum Liability
Except as expressly provided in these Terms or where prohibited by law, by use of the Virginia Legal Online Site you agree that the maximum liability of Virginia Legal Online is the amount you paid to Virginia Legal Online as the customer, notwithstanding any other statute, law, or case law which may be to the contrary. You further agree that the maximum amount of any damages awarded to you, your heirs, or assigns, is the amount you paid to Virginia Legal Online as a customer.

10. Refunds
Virginia Legal Online has no obligation to refund purchases. All sales are final except as provided herein. If you would like to request a refund, a request must be submitted to info@valegalonline.com within 24 hours of your purchase. All refund requests made after 24 hours from the purchase time will not be granted. The subject line must state “Refund Request” and you must provide details for your request in the body of the email. Refund requests will not be made for mistakes you made in spelling, incorrect address(es), or incorrect phone numbers. Virginia Legal Online may correct your errors/mistakes and send you the updated Final Document(s), at the sole and absolute discretion of Virginia Legal Online. Refunds will be made for mistakes in your Final Document(s) if:

The mistake is in the wording of the legal text of the document and not in other text as supplied by you;

We will only refund you once for a mistake no matter how many mistakes you may bring to our attention.

11. Client Privacy
You consent to Virginia Legal Online using your personal information, and all other information you submit through the Site, to complete the Final Document(s).

12. Indemnification
Except where prohibited by law, you agree to indemnify and hold Virginia Legal Online, its directors, officers and employees, harmless from any actions, claims, losses, damages, liabilities and expenses including legal fees, asserted by any third party due to or arising out of your use of the Site or Virginia Legal Online Material or Virginia Legal Online Services.

13. Governing Law
These Terms are governed by the laws of the State of Virginia.

14. Binding Arbitration
Subject to exceptions specified herein, if you and Virginia Legal Online are unable to resolve any dispute by informal negotiations, then any resolution of this dispute will be conducted exclusively by binding arbitration.
All references to "Virginia Legal Online," "you," and "us" include our respective subsidiaries, affiliates, agents, employees, employers, business partners, shareholders, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or products under these Terms or any prior agreements between us. Beneficiaries include, but are not limited to, those named in an estate planning document.
You agree that, by using the Site you are entering into these Terms in which you and Virginia Legal Online are each waiving the right to a trial by jury or to participate in any class action. A request for appointment of an arbitrator must be made in writing. Upon receipt of the written request, Virginia Legal Online will have 90 days to choose and appoint an independent and impartial arbitrator. The arbitration will be held in the City of Lynchburg, Virginia.
The cost of the binding arbitration proceedings and any proceeding in court to confirm or to vacate any arbitration award, including, without limitation, reasonable attorneys' fees and costs, will be borne by each party.
Exceptions to the use of binding arbitration are as follows: Virginia Legal Online may bring forth a lawsuit, without using binding arbitration, should the lawsuit involve intellectual property infringement or injunctive relief.

15. Class Action Waiver
You expressly hereby agree not to seek to have any dispute heard as a class action, private attorney general action or in any other proceeding in which either party acts or proposes to act in a representative capacity. Arbitration or any other proceeding to resolve any dispute, in any forum, will be conducted solely on an individual basis and not combined with another without the prior written consent of all parties to all affected arbitrations or proceedings, including the written consent of Virginia Legal Online.

16. Modification of the Terms
Virginia Legal Online may, in its sole discretion, change these Terms at any time. Other terms and conditions are only valid when signed in writing by an authorized Virginia Legal Online officer.

17. Severability
If any term, covenant, condition or provision of these Terms is held by a court of competent jurisdiction to be invalid, void or unenforceable, such provision is to be excluded to the extent of such invalidity or unenforceability and all other provisions will remain in full force and effect; and, to the extent permitted and possible, the invalid or unenforceable provision will be deemed replaced by a provision that is valid and enforceable and that comes closest to expressing the intention of such invalid or unenforceable provision.

18. Waivers
No failure or delay, on the part of Virginia Legal Online, in exercising any right or power under these Terms will operate as a waiver of such right or power.

19. Whole Agreement
Except as explicitly set forth in this agreement, these Terms, the pricing displayed on the Site, constitute the whole agreement between you and Virginia Legal Online notwithstanding any:

Virginia Legal Online Material other than this Agreement,

communication between you and Virginia Legal Online, including telephone, email and online chat assistance, or
-
announcements, newsletters or promotional materials from Virginia Legal Online.

20. Terms and Headings
To the maximum extent possible under law, the Terms take precedence over any conflicting Virginia Legal Online Material should it be adjudicated that the conflicting Virginia Legal Online Material is legally relevant to this Agreement under law.
